Terms of Service

These Terms of Service govern your firm's access to and use of the izzytap software platform, setting out what we provide, what remains your responsibility, and the commercial and legal terms that apply.

01Parties & Acceptance

These Terms of Service (the "Terms") are a binding agreement between izzytap Portal ("izzytap", "we", "us" or "our"), based in Dubai, United Arab Emirates, and the corporate service provider, business-setup consultancy or other organisation that subscribes to or uses our platform ("you", "the Firm" or the "Subscriber").

By creating an account, subscribing, or otherwise accessing or using the Service, you confirm that you have read and accepted these Terms and that the individual accepting them has authority to bind the Firm. If you do not agree, you must not use the Service. These Terms incorporate by reference our Privacy Policy, Data Processing Addendum, Acceptable Use Policy and Subscription & Billing Terms, each of which forms part of this agreement.

02The Service

izzytap provides a cloud-based, Software-as-a-Service platform (the "Service") that helps corporate service providers organise their business-setup, compliance and client-management workflows — including intake, document handling, task tracking, billing and related tools, some of which may be offered under your own branding.

The Service is provided as software tools only. izzytap is not a party to any engagement between you and your clients, does not perform your services, and does not exercise professional judgement on your behalf. We may add, modify or discontinue features from time to time in line with the section on Changes to the Service or Terms below.

03Eligibility & Accounts

To use the Service you must be a validly constituted business, be capable of forming a binding contract under the laws of the United Arab Emirates, and use the Service for business purposes only. The Service is not intended for consumers or for personal use.

You are responsible for the accuracy of your registration details, for maintaining the confidentiality of all login credentials, and for all activity that occurs under your account. You must notify us promptly at hello@izzytap.com if you suspect any unauthorised access. You are responsible for the acts and omissions of every user you permit to access the Service, including your staff and administrators.

04Subscription Plans & Your Responsibilities

Access to the Service is provided on a subscription basis under the plan you select, as described in our Subscription & Billing Terms. Your subscription entitles you to use the Service for your own firm and its clients, subject to any usage limits, seat counts or fair-use conditions applicable to your plan.

You remain solely responsible for how you use the Service and for your own regulatory, professional and contractual obligations. This includes verifying the accuracy of information you or your clients enter, meeting deadlines, retaining records as required by law, and ensuring that your use of the Service complies with all applicable UAE and other laws that apply to your business.

05Acceptable Use

You must use the Service lawfully and in accordance with our Acceptable Use Policy. You must not misuse the Service, attempt to gain unauthorised access to any part of it, reverse-engineer or copy it, upload malicious code, or use it to store or transmit unlawful, infringing or harmful content.

You must not use the Service to facilitate any activity that is fraudulent, that circumvents applicable sanctions or anti-money-laundering requirements, or that would expose izzytap to legal or regulatory liability. Breach of acceptable use may result in suspension or termination under the section on Suspension & Termination below.

06Your Data & Your Clients' Data

As between you and izzytap, you retain all rights in the data you and your users submit to the Service, including personal data relating to your clients ("End Clients"). In respect of End-Client personal data, you act as the data controller and izzytap acts as your data processor, processing that data only on your documented instructions as set out in our Data Processing Addendum. In respect of izzytap's own account, billing and platform-operation data, izzytap acts as controller, as described in our Privacy Policy.

You are responsible for having a lawful basis to collect and share End-Client data with us and for the accuracy of that data. You remain responsible for that lawful basis at all times; izzytap processes End-Client data solely as your processor and only on your instructions. Our use of subprocessors is listed in our Subprocessors page.

07Intellectual Property & Licences

izzytap and its licensors own all intellectual property rights in the Service, including its software, design, branding and underlying technology. Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term.

This licence does not permit you to resell, sublicence, copy or create derivative works from the Service except as expressly allowed by your plan. Any white-label or client-facing branding features are provided as a presentation layer only and do not transfer ownership of the underlying platform to you. You grant izzytap a limited licence to host and process your data solely to provide and support the Service.

08AML & Compliance Tools Are Not Advice

The Service may include features that assist with anti-money-laundering (AML), know-your-customer, screening, record-keeping and other compliance-related workflows. These are software tools only. izzytap is not your lawyer, accountant, auditor, tax agent or Money Laundering Reporting Officer, and provides no legal, tax, accounting, audit or compliance advice.

The output of any tool is not a professional opinion, regulatory determination or assurance of compliance. You remain fully responsible for your own regulatory obligations, professional judgement, filings and reporting. Please read our AML & Compliance Notice.

izzytap's tools do not constitute legal, tax, accounting or compliance advice. You remain fully responsible for your own regulatory obligations and professional judgement, and must not rely on the Service as a substitute for them.

09Fees & Billing

You agree to pay all fees for your chosen plan in accordance with our Subscription & Billing Terms. Unless stated otherwise, subscriptions renew automatically for successive terms and fees are billed in advance. Fees are exclusive of any applicable taxes, including UAE VAT, which you are responsible for paying where due.

Except where required by law or expressly stated in our Refund & Cancellation Policy, fees are non-refundable. We may suspend the Service for non-payment after giving notice. We may change our fees for future terms on reasonable prior notice.

10Warranties & Disclaimer

We will provide the Service with reasonable skill and care and will use commercially reasonable efforts to keep it available. However, to the maximum extent permitted by law, the Service is provided "as is" and "as available", and we do not warrant that it will be uninterrupted, error-free, or fit for any particular regulatory or professional purpose.

We disclaim all implied warranties, conditions and representations not expressly stated in these Terms. You are responsible for maintaining your own backups where appropriate and for verifying any output before relying on it.

11Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that, izzytap shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, data, or regulatory penalties or fines incurred by you or your End Clients, however arising.

izzytap's total aggregate liability arising out of or in connection with these Terms is limited to the fees you paid to izzytap for the Service in the twelve (12) months immediately before the event giving rise to the claim.

12Indemnity

You agree to indemnify and hold izzytap harmless against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, your relationship with your End Clients, or your failure to meet your own legal, regulatory or professional obligations.

This includes any claim brought by an End Client or a regulator that relates to services you provide or advice you give, which are matters for which you, and not izzytap, are responsible.

13Suspension & Termination

You may cancel your subscription in accordance with our Refund & Cancellation Policy. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates legal or security risk, giving notice where reasonably practicable.

On termination, your right to use the Service ends. We will make your data available for export for a limited period as described in our Data Processing Addendum, after which it may be permanently deleted.

After the post-termination export window closes, your data may be permanently and irreversibly deleted. Export any records you need before your subscription ends.

14Changes to the Service or Terms

We may update these Terms from time to time to reflect changes in the Service, in the law, or in our business. Where changes are material, we will give you reasonable prior notice, for example by email or through the Service.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to a change, your remedy is to stop using the Service and cancel your subscription in accordance with our Refund & Cancellation Policy.

15Confidentiality

Each party may receive confidential information from the other in connection with the Service. Each party agrees to keep the other's confidential information secure, to use it only to perform its obligations under these Terms, and not to disclose it except to personnel and advisers who need to know it and are bound by similar obligations.

These obligations do not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law or regulatory authority, in which case reasonable notice will be given where lawful.

16Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, including their subject matter or formation, are governed by the laws of the United Arab Emirates.

The parties submit to the exclusive jurisdiction of the competent courts of the United Arab Emirates to settle any such dispute or claim.
